Terms of Service

Acceptance and eligibility

The Arche API and MCP server (“Arche”, “we”, “us”) are operated by Protos Systems LLC. By accessing or using the Arche API or MCP server, you agree to these Terms of Service. You represent that you have authority to bind the company or organization using the service and that you will use the service only in compliance with applicable laws and regulations.

Accounts and API keys

You must maintain accurate account information and keep API keys confidential. You are responsible for all activity under your credentials, including usage caused by unauthorized access resulting from your failure to secure keys.

Arche may apply rate limits, traffic shaping or access restrictions to protect reliability and prevent abuse. You may not attempt to bypass limits or interfere with service operation.

Fees and billing

Paid plans are billed in advance for the term you select at checkout, at the price shown on the pricing page. Subscriptions renew automatically for the same term until canceled. A free plan is available and does not expire. Enterprise access is priced per agreement rather than by the published plans.

Payment processing, invoicing and applicable sales tax or VAT are handled by Paddle.com Market Ltd, which acts as the merchant of record for the transaction and appears as the seller on your invoice and card statement. Refund eligibility and cancellation timing are described in the Refund Policy.

Acceptable use

You may not use the Arche API or MCP server for unlawful activity, attempts to gain unauthorized access, disruption of service operation, reverse engineering except where legally protected or security testing without prior written permission from Arche.

Usage limits

Access to the Arche API and MCP server is subject to reasonable usage limits designed to ensure platform reliability and fair access for all users. Arche may enforce rate limits, throughput limits or other technical controls.

You may not attempt to circumvent usage limits, extract data in a way these Terms do not permit or operate automated systems that materially degrade service performance for other users.

Arche reserves the right to suspend or restrict access if usage patterns threaten platform stability, violate these Terms or exceed the limits of the applicable plan.

Service availability and changes

We work to maintain reliable service, but availability is not guaranteed. We may update, modify or discontinue features, endpoints or data fields over time, including for security, legal or operational reasons.

Disclaimers

Arche data and services, including the API and MCP server, are provided on an “as is” and “as available” basis. Arche provides financial data infrastructure and does not provide investment, legal, accounting or tax advice.

Financial data disclaimer

The Arche API and MCP server provide access to financial data derived from public disclosures and other sources. While we strive to maintain accurate and reliable data, Arche does not guarantee the completeness, accuracy or timeliness of any data provided through the service.

The service is intended for informational and analytical purposes only. Arche does not provide investment advice, financial advice, legal advice, accounting advice or tax advice. Users are solely responsible for evaluating the suitability of any data for their particular use case.

You will not rely on the service as the sole basis for any investment or trading decision.

Use of Arche data

“Arche Data” means the data the service returns to you, including normalized values, statement versions, provenance and the files of a bulk export.

On the Free plan, you may use Arche Data only for personal, non-commercial purposes, to evaluate the service, and to build and test your own products and AI agents before you offer them to others. The Free plan does not permit commercial use: you may not display Arche Data to users of a product or service, use it in the output of an AI agent or application that others use, or use it in the course of a business, including for your organization’s internal research. Those uses require a paid plan.

If a paid plan ends or you move to the Free plan, the Free plan’s limits apply from the end of the period you paid for. You may keep Arche Data you retrieved while the paid plan was active for your records, audit and compliance, but you may not go on displaying it to users or supplying it through an agent or application that others use.

On a paid plan, you may:

• display Arche Data to any number of users of your own products and services, including a full statement or a company’s complete history when a user asks for it;
• use Arche Data in the output of AI agents and language-model applications, including quoting, summarizing and citing values, and store it in caches, databases or vector stores for that purpose;
• create analyses, models, charts and other works derived from Arche Data, and share them;
• keep Arche Data you retrieved while your plan was active after it ends, for your records, audit and compliance.

On every plan, you may not:

• sell, license or redistribute Arche Data as data: in bulk, systematically across companies or periods beyond what your users ask for, or through a feed, API or download that lets others obtain it instead of using the service;
• use Arche Data to build or supply a dataset or service that competes with Arche;
• share bulk export files outside your organization.

Attribution is welcome but not required. You may not state or imply that Arche endorses your product.

Intellectual property

The figures in SEC filings are public, and Arche claims no rights in them. Arche and its licensors retain all rights in their own work: the normalization, versioning, verification and compilation of those figures, and the service, software and related materials. Subject to these Terms and any applicable agreement, you receive a limited, non-exclusive, non-transferable right to access and use the service, and to use Arche Data as set out above.

Termination

You may stop using the service at any time, and cancel a paid plan from Billing in the developer portal; access continues to the end of the period already paid for. An Enterprise agreement’s own termination terms apply to it. Arche may suspend or terminate access for non-payment, security risk, legal compliance reasons or material breach of these Terms.

Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO ARCHE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100) IF YOU HAVE PAID NO FEES.

Indemnification

You will defend, indemnify and hold harmless Arche and Protos Systems LLC from any third-party claim, and the resulting losses, damages and reasonable costs, including attorneys’ fees, arising out of your use of the service or its data, including in your own products or investment and trading activity, or your breach of these Terms.

Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Virginia.
